‘THE OLD WINBURNIANS’ Rules and Regulations

1. The name of the association shall be ‘The Old Winburnians’ (O.W.)

2. The object of the O.W. is to promote and continue the friendships between past pupils of the former
Queen Elizabeth’s Grammar School Wimborne, by providing newsletters and the opportunity for reunions.

3. Membership
3.1. Membership of the O.W. is open to former pupils and staff of Queen Elizabeth’s Grammar School.
3.2. Only current members are eligible to vote at association meetings.
A member is considered current if his or her membership is paid up to date or if he or she has been awarded free membership. E.g. Ex staff or non-U.K. resident members who receive electronic newsletters.

4. A committee shall have control and management of the O.W. association.
4.1. The committee shall consist of the following officers:

4.3. Vice Chairman
4.4. Treasurer
4.5. Secretary
4.6. And a minimum of 4 and maximum of 8 ordinary members.
4.7. A quorum shall consist of 2 officers and 2 ordinary members.

5. Committee elections will take place at the Annual General Meeting.
5.1. The Chairman, Vice Chairman, Treasurer, Secretary and ordinary members shall be elected annually at the A.G.M.
and all will be eligible for re-election.
5.2. The committee shall have the power to co-opt members as necessary.
5.3. Committee meetings may be held at such times and places as the committee may direct.
5.4. The Chairman shall have a casting vote should the occasion arise.

6. The financial year shall end on the 30th June and all subscriptions shall become due on the 1st July.

7. The A.G. M. of the O.W. shall be held within 4 months of the end of the financial year.
7.1. The chair shall be taken by the committee chairman or, in his / her absence, by another officer.
7.2. A quorum for the A.G.M. shall be 10 members of the O.W.
7.3. All resolutions for amendments to the Rules and Regulations shall be in the hands of the secretary
at least 10 days before the A.G. M.

8. A Special General Meeting (S.G.M.) may be called at any time by resolution of the committee
or by at least 10 members of the O.W.
8.1. The members of the O.W. must be given at least 14 days notice in writing of such a meeting.
Such notice shall state fully the nature of the business for which the meeting is called.
8.2. An S.G.M. shall have the same quorum as an A.G.M. namely 10 members.

9. No alteration of the rules may be made except at an AGM or a SGM called for this purpose.

10. An auditor shall be appointed annually to audit the accounts of the O.W.

11. At each Annual General Meeting a statement of accounts shall be presented by the treasurer,
together with the report from the auditor. The Treasurer’s report shall include a full record of the
‘The Old Winburnians’ income and expenditure.
11.1. The O.W. funds shall be held in the name of ‘The Old Winburnians’ and withdrawals shall require any two
of the following signatures: Chairman, Treasurer, Secretary.
11.2. Major expenditure may only be incurred by a majority vote of the committee.

12. Any matter not provided for in the constitution shall be dealt with by the committee, whose decision shall be final.

13. In the event of the winding-up of the O.W. the balance of any funds held shall be donated to either Wimborne Minster
or a local charity.
